Corporate Governance

In recent years, there has been an increasing global trend toward improved governance practices, increased accountability as well as responsibility. We have also seen a number of corporate and regulatory initiatives introduced in the United States which are focused on corporate governance. SKYE has significantly improved our corporate governance practices and we continually review our practices to ensure that we are not only in compliance with all applicable regulations, but are also following best practices at all times.

Our Board of Directors currently consists of 4 directors, two of whom are independent. The current SKYE Board is authorized to comprise 7 members and thus 3 vacancies are expected to be filled in the near future. All of such appointments are expected to be independent directors. “Independence“ is determined by criteria set out by the applicable laws and regulations including the Sarbanes-Oxley Act.

There are currently two standing committees of the Board: the Audit Committee and the Corporate Governance Committee. Each committee has a mandate which is established by the Board and which sets responsibilities and authority of the committee.
